Willamette Valley Sustainable Foods Alliance

Mission
The Willamette Valley Sustainable Foods Alliance is a regional association of businesses, located in Lane County, that promotes natural food businesses through relationships, education and sustainable business practices.

Values
The activities of the Alliance are conducted according to a primary set of values that include:

Goals
Goals the Alliance will endeavor to achieve:
•Work with the City and County on issues affecting the viability of natural foods
  businesses in Eugene and Lane County.
•Nurture new and existing businesses by sharing best practices and acting as mentors
•Educate the community about the health benefits of natural and organic foods.
•Foster a network to assist in regional sourcing of ingredients and raw materials.
•Foster and develop access to distribution channels
•Find ways to make health insurance affordable for natural foods businesses of any size.
•Provide venues and opportunities for social networking.
•Develop a regional brand around natural foods produced in Eugene and Lane County
  (akin to Napa Valley wines).
•Network with organizations in Lane County who have aligned goals.

General Membership
•Membership is based on self-selection of natural food businesses who are attracted to the values and goals of the group.
  This includes growers, brokers, distributors, wholesalers, producers, processors, manufacturers, and retailers including
  restaurants and stores.
•Membership is restricted to businesses with operations or offices in Lane County, Oregon.
•Membership is for businesses and not individuals.
•A business member may choose to sponsor individuals who wish to participate in the organization but are not affiliated
  with the business. Each businesss is limited to sponsoring one individual member. Sponsored individual members of
  WVSFA must commit to the goals of the organization.
•A business may have more than one representative active in the association.
•At the discretion of the Board of Directors, a proposal may be referred to the general membership for a vote. Such
  balloting may be conducted electronically, by mail, or by direct representation at a general membership meeting. Each
  member shall have one vote. A decision will be determined by a simple majority of those casting ballots.
•Membership requires payment of yearly dues, the amount of which is determined by the board.
•Members are expected to commit to the mission statement and values of the association.
•Should a question arise regarding a party's eligibility for membership, that question will be decided by a majority vote of
  the Board of Directors.

Board of Directors
•Interim Board members are volunteers who have been chosen by a self-selection process. (Our goal is to have a regularly
  installed Board by January 1, 2007.)
•The Board of Directors shall be elected by and from the general membership on a regularly scheduled annual basis.
  Directors shall serve for 2 year terms. To maintain continuity, election of Directors shall be staggered.
•The Board of Directors consists of seven individuals who make majority-based decisions regarding issues of membership,
  finances and overall direction of the organization.
•Business-sponsored individual members of the WVSFA can be Board members and can be active on committees. A
  maximum of two such members can serve on the Board simultaneously.
•Board members shall elect from among themselves the offices of Secretary, Treasurer, and Communications Director.
•Responsibility for chairing Board meetings is rotated among Board members. The Acting Chair commits to:
•Find a meeting space
•Notify participants of the time and place of meeting
•Set agenda for the meeting
•Facilitate the board meeting
•Recap To-Do List for individual responsibilities
•Five directors at a meeting constitute a quorum for conducting business.
•The BOD, at their discretion, may chose to appoint someone to fill a vacant board position for the remainder of an
  unfinished term of office.

Standing Committees
The work of the organization is accomplished by Committees, each with a chair that reports to the board.
•Membership (secretarial, database, outreach)
•Events
•Financial

Ad-Hoc Committees
Ad-hoc committees will be formed as needed to accomplish goals identified by the board, and will meet as needed. An Ad-hoc Committee may be composed of board members and/or general members, and will report to the Board. The Board will select the chair and determine the duration of the Committee’s activities.

Meetings
•The Board meets a minimum of six times each year.
•General membership meetings are held at least semi-annually.
